PETITIONER’S EXHIBIT No. 31.
Filed Nov. 2, 1910, by stipulation in substitution for Exhibit
No. 31, tiled Nov. 1, 1910.
EDWIN L. WAYMAN
1509 Arrott Building
Pittsburgh
April 16, 1910.
The Price and Schedule Committee created at the meet-
ing held in New York City, for the purpose of concluding
the License and Resale Agreements, have just completed a
special session held at Mt. Clemens, Mich. beginning April
Sth and ending April 14th.
All the details of the License Agreement and Jobbers’
Agreement were thoroughly gore into and considered, every
paragraph being carefully weighed; the Committee making
such additions or eliminations as they considered advisable.
Some changes were made in the arrangement of the
Schedules as you will note by the attached copy as well as
some changes in the differentials. All members who had
suggestions to make or those whom the Committee desired to
see, appeared before them and after going into all details
and bringing up every possible question they went away en-
tirely satisfied after having presented the Committee with
letters, several of which are given below:
“We hereby accept your proposition as to a License
Agreement under Dredger Patents by which we are
permitted to use said Patents, and for the use of
which we agree to pay you as per terms of said Li-
cense Agreement at the rate of $5.00) per day per
furnace in operation, less such rebates that you may
hereafter decide upon; it being understood that all
Licensees shall be upon the same uniform schedule
of prices per furnace and the same uniform change
and rebate, We further agree to maintain any and
all stipulations and provisions set forth in the
schedule and also to the different differentials estab-
lished for our Company as shown in the attached
sheet.”
“After having met with the Committee and gone
into the matter very carefully, we have given it due
consideration and in the matter of harmony, we will
waive all demands which we made in our previous
GOV'T’s EX. 31—LETTER, WAYMAN TO MANUFACTURERS. 63
letter as to schedule, and will agree to manufacture
all ware which we make under one of the three
dredger patents and we will also agree to the schedule
of differentials in prices as submitted by your Com-
mittee, and trust that our action will enable you to
harmonize other interests.”
The Committee will hold additional Meetings Tuesday
April 19th at Pittsburgh and Thursday April 21st, at New
York City, which Meetings are believed will finish all the
preliminaries. You may, therefore, expect to receive a
notice calling a General Meeting to be held in New York
City during the first week in May for the purpose of execut-
ing the final License Agreement Papers which will put this
and the Re-sale proposition into effect on June Ist., which
date is being expected and insisted upon by the Jobbers
throughout the country. The Papers you will be asked to
sign at this meeting will not be subject to any further
changes. They embrace the best suggestions made to the
Committee, have been passed on by the best legal talent in
the Country and it will not be feasible to make any addi-
tional changes in order to meet the ideas of the attorneys of
the individual Companies. Will you, therefore, come pre-
pared to sign or bring such principals with you that have
authority to conclude the matter?
Yours very truly,
(Signed) E. L. Wayman.
