is reasonably necessary or appropriate

for such purposes.

The Commission reserves the right to

require a further showing that neither

Duke Energy Southaven, L.L.C. (Duke

Southaven) filed an application for

market-based rate authority, with an

accompanying rate tariff and code of

conduct. The proposed market-based

rate schedule provides for sales of

capacity, energy, and ancillary services

at market-based rates, and for the

reassignment of transmission capacity.

Duke Southaven also requested waivers

of various Commission regulations. In

particular, Duke Southaven requested

that the Commission grant blanket

approval under 18 CFR Part 34 of all

future issuances of securities and

assumptions of liability by Duke

Southaven.

On February 13, 2002, pursuant to
