WHEREAS, the Confederated Tribes of the Colville
Reservation (the “Tribes”) is a federally recognized Indian
tribe organized and established pursuant to a Constitution
and By-Laws adopted by the members of the Tribes on
February 26, 1938, and approved by the Commissioner of
Indian Affairs on April 19, 1938 (as amended to date, the
“Constitution”); and

WHEREAS, Article II of the Constitution provides that the
Tribes shall be governed by the Colville Business Council
(the “Colville Business Council”); and
WHEREAS, the Colville Business Council possesses
constitutional authority to approve the Tribes entering into
contracts, which power the Colville Business Council has
continuously and openly exercised since on or about the date
of the effectiveness of the Constitution; and
WHEREAS, the Tribe has previously expressed a desire to
enter into an Improved Forest Management Project (the
“Project”) to generate California Carbon Credit Offsets
under the California Air Resource Board (“CARB”)
Compliance Offset Protocols, U.S. Forest Projects dated
November 14, 2014 the “Protocols”) and pursuant to the
cap-and-trade program authorized by the California Global
Warming Solutions Act of 2006 (the “California Program”);
and
WHEREAS, BP Gas Marketing Limited wishes to purchase
from the Tribe the California Carbon Offsets produced from
the Project on the terms and conditions set forth in the
attached California Offset Transaction Terms Agreement
(“Agreement”); and
WHEREAS, the Management and Budget Committee has
reviewed the Agreement, the Protocols, and associated
California regulatory requirements, including the provisions

therein regarding choice of law, arbitration, exhaustion of
tribal remedies, recourse, and limited waivers of sovereign
immunity, and finds that it is in the best interest of the Tribe
to approve the Agreement.
THEREFORE BE IT RESOLVED, that the Colville
Business Council, meeting in a Special Session this 21st Day
of May 2015 acting for and on behalf of the Confederated
Tribes of the Colville Reservation, does hereby approve the
above recommendation of the Management and Budget
Committee; and
BE IT FURTHER RESOLVED, that the Colville Business
Council finds that (i) the Colville Business Council
possesses full power and authority to adopt this Resolution;
and (ii) all members of the Colville Business Council voting
on this Resolution were duly elected or appointed; and
BE IT FURTHER RESOLVED, substantially complete
forms of the Agreement have been presented to the Colville
Business Council for consideration, and this Resolution
hereby authorizes the Chairman or his designee,
(collectively, the “Authorized Representatives”) on behalf of
the Business Council and the Colville Tribe, to:
(i) Finalize, execute, and deliver the Agreement and
such other agreements, documents, certificates, orders,
requests, and instruments, as may be required to complete
the transactions or list the Project with the CARB.
(ii) Take such other actions, including any filings
with federal, state, or tribal governmental authorities in
connection with the transactions and documents herein
approved as may be necessary or desirable; and
BE IT FURTHER RESOLVED, the attached Agreement
includes certain provisions related to the Tribe’s (i) limited
waiver of sovereign immunity, (ii) rights to have disputes
heard first before the Tribal Court or other Tribal tribunal,
(iii) consent to arbitration for resolution of disputes and
litigation proceedings for the enforcement of the agreement
to arbitrate or an arbitral award, and (iv) consent to the
application of the laws of the State of Washington
(collectively, the “Dispute Resolution Provisions”). The
Dispute Resolution Provisions are hereby expressly,
unconditionally and irrevocably approved on behalf of the
Confederated Tribes of the Colville Reservation for the
benefit of BP Gas Marketing Unlimited, and any permitted
successor or assign.
BE IT FINALLY RESOLVED, the Colville Business
Council hereby authorizes the Chairman of the Colville

Business Council or his designee to sign any additional
documents required to complete the Agreement, including
any amended or revised versions of the attached documents,
so long as such documents do not materially alter the
business or legal terms of the Agreement approved in
accordance with this Resolution.
WHEREAS, the Business Council is the governing body of
The Confederated Tribes of the Colville Reservation (the
“Tribe”), a federally-recognized Indian tribe with a
reservation located within the State of Washington; and

WHEREAS, the Business Council is the legislative body that
is entrusted with jurisdiction over resources and matters that
concern the Tribe as a whole, including economic affairs;
and
WHEREAS, the Business Council has determined to
develop an Improved Forest Management Project (the
“Project”) to generate California Carbon Credit Offsets
under the California Air Resource Board (“CARB”)
Compliance Offset Protocols, U.S. Forest Projects dated
November 14, 2014, (the “Protocols”) and pursuant to the
cap-and-trade program authorized by the California Global
Warming Solutions Act of 2006 (the “California Program”);
and
WHEREAS, the CARB requires that federally-recognized
Indian tribes wishing to participate in the California Program
execute a limited waiver of sovereign immunity to be in
effect for the duration of the life of the Project; and
WHEREAS, the Management and Budget Committee finds
that it is in the best interests of the Tribe to participate in the
California Program, and therefore consents to the limited
waiver of sovereign immunity as required by 17 C.C.R. §
95830(b)(4), 17 C.C.R. § 95973(d), and 17 C.C.R. § 95975
(l)(1) - (3) for the duration of the Project.
THEREFORE BE IT RESOLVED, that the Colville
Business Council, does hereby grant a limited waiver of the
Tribe’s sovereign immunity for the limited purpose of
satisfying the requirements of the California Program as
follows:
The Confederated Tribes of the Colville Reservation hereby
expressly waives its sovereign immunity from suit with
respect to any action in law or in equity commenced by the
State of California Air Resource Board to enforce the
obligations of the Tribe with respect to its participation in
the Cap-and Trade Program, only for the minimum duration
required in the Compliance Offset Protocols for the U.S.
Forest Projects (adopted
November 14, 2014), and

irrespective of the form of relief sought, whether monetary
or otherwise, including the submission or replacement, as
applicable, of valid CARB offset credits, or other approved
compliance instruments as required by the Cap-and Trade
Program, including in sections 95983(c) and 95985. The
Confederated Tribes of the Colville Reservation, for
purposes of this limited waiver, shall be treated in the same
manner as a California public entity under the California
Government Code sections 818 and 818.8. The Tribe
consents to the jurisdiction and venue in the courts of the
State of California for the limited purposes expressed herein
and does not waive any aspect of its sovereign immunity
with respect to actions commenced by any entity whatsoever
other than the State of California Air Resource Board.
BE IT FURTHER RESOLVED, that nothing about the
Tribe’s Project, including, without limitation, any
attestations to the CARB, shall confer any other agency of
the State of California or any other state government, or any
state, county, or other subdivision, any general civil
regulatory authority over the Tribe, or the Tribe’s
reservation, including, without limitation, those acres and
resources that the Business Council has referenced as part of
the Project.

BE IT FURTHER RESOLVED, by the Business Council
that the Chairman of the Business Council or his designee
are hereby authorized to execute any and all documents
necessary to effectuate the intent of this Resolution.
To approve the Employment Agreement for an Adult
Literacy Instructor from April 1, 2015 through September
30, 2017. The cost for this Employment Agreement is
$102,918.00 (One Hundred Two Thousand Nine Hundred
Eighteen Dollars). Chairman or designee to sign all
pertinent documents. This Agreement is funded by
Corrections Federal P.L. 93-638 Account 1015.
To approve an allocation of $15,208.44 from the General
Fund for the Nespelem Community Center Kitchen.
To approve the Construction Contract with Flowers & Sons,
LLP to install climb-resistant-wire fencing material to
enclose all pod mezzanine and stairway areas. The cost is
Sixty-One Thousand One Hundred Eighty-Five Dollars
($61,185.00). The funds will come from Corrections
Operations and Maintenance Budget Fund #10151.67020.

increasing funding by $10,865.00 for a new total of
$39,365.00 under OJJDP Grant 2010-53701-WA-TY, which
grant was approved for one year no cost extension. No

To approve the attached Independent contractor position
announcement for a Sahaptin Bands Historical and Cultural
Facilitator position and the attached budget modification in
the amount of $75,000.00 to come from the General Fund
Revenue available to be obligated to fund the position. This
will be an independent contractor position and not entitled to
benefits. The position will be managed by the Office of the
Reservation Attorney.
To accept Mel Tonasket's nomination by the Governor's
Office and HCA Director to the Health Innovation
Leadership Network for a two-year appointment. Chairman
or designee authorized to sign all pertinent documents.
To approve Modification #1 to Contract C14-494 to extend
the contract end date to September 30, 2015 and to increase
the funds by $120,000.00 (One Hundred Twenty Thousand
Dollars). All other terms and conditions remain unchanged
and are in full force and effect. The total of this contract
after the increase of funds is $395,000.00 (Three Hundred
Ninety-Five Thousand Dollars) for an Adult Inmate Housing
Contract with BIA RMRO 0004. Chairman or designee to

To approve reimbursement to the Colville Tribe's
Environmental Trust Department from the Federal On-Scene
Coordinator (FOSC) Oil Spill Liability Trust Fund not to
exceed $50,000.00 for the tanker truck accident that occurred
