1769 Thirty-ninth. Said Cireuit Court erred in admittiyg and
receiving in evidence, over the objection and ai of
defendants’ counsel the testimony of Edward J. E. Ward, as follows:

I have been familiar for over thirty years with the concer known
as the Union Stock Yards and ‘Transit Company ; said Company is a
very large market for the sale of all sorts of live stock, cattle, hogs,
horses and so forth. It ix the sole market of the kind in Cook
County, for cattle, hogs, sheep and live stock generally. I have
procured, wnder direction, the annual reports of the Union Stock
Yards and Transit Company, and from those reports, and from other
data | have prepared a statement showing the number of cattle, the
hogs and horses received at the Union Stock Yards and Transit
Company during the year 1899 to 1901 inclusive, the total value of
each kind of animal and average value per head, compiled from
those statistics. This paper which I now show you is that compila-
tion.

From this compilation it appears that during the year Iso,
2 514.446 head of cattle, of a total value of $123,207 ,854, or an aver-

age value of 349 per head, was received; in the same way,
{766 for the year 1900, there were 2,729,046 head of cattle, of a

total value of $156452.500, of the average value per head
of $50; and in the year 1901, without specifying the name oer Wane
her of cattle, the average price received Was $48 per head. In 1899),
the average price per head was $9.74.

For the year 1900, the average price per hog received was $11.84;
for the vear 1901, $13.00, With reference to horses, the average
rice received in) 1899, was $112.50; in 1900, $116.00; in WOOL,
$120.00; All these figure are taken from the annua! reports of the
Union Stock Yards and Transit Company that have been referred to.

named corporations whose assess-
ments are here ii controversy, being the lessor cor-
porations of the Union Traction Company and the
Consolidated Traction Company, failed to file any
statements with the assessors. The seven other cor-
porations in question, being the appellees in the
cases now before this court, filed statements, but
those statemcnts did not give either the actual value
or the market value of their shares of stock. The
blanks calling for that information were either not
filled out at all, or contained the statement that said
values were unknown.

The Board of Assessors then made up schedules
giving the above information in accordance with the
provision of the statute. Said schedules were duly
forwarded to the state auditor and by him placed
before the State Board of Equalization. (Trans.,
590.) The sworn statements made by said corpora-
tions were similarly placed before the State Board
of Equalization. (Trans., 595-599.)

The said Board met for its annual session Sep-
tember 11, 1900 (Trans., 862), but took no steps
towards assessing the capital stock and franchises
of the above named corporations. On November
10, 1900, the state’s attorney of Sangamon County
filed a petition for a mandamus on the relation of
certain taxpayers in the Circuit Court of said county

against said State Board of Equalization, alleging
that said State Board willfully neglected and refused,
during the year 1899 to assess the capital stock and
franchises of the above named corporations, and
many others in said petition enumerated, and that
said Board claimed and pretended that it would, at
its then session, similarly refuse to assess the cap-
ital stock and franchises of said corporations, or
would assess the same at such a figure as to produce
substantially no tax. Said petition set forth the
amount of the capital stock of said corporations, the
market value of the same, or if no market value,
‘ts actual value, and alleged that said information
had been furnished to said Board, both by the sched-
ules of the Board of Assessors of Cook County and
by statements furnished by the relators and prayed
that a writ of mandamus might issue against said
Board.

On December 3, 1900, said State Board of Equali-
zation adjourned (Trans., 322), and on that day the
said Board, for the purpose of defeating the prose-
eution of said mandamus suit, assessed some of the
above named corporations so low that said assess-
ments were afterwards adjudged f raudulent by the
Supreme Court, and omitted altogether to assess
thirteen of said corporations. (Trans., 328.) The
seven appellees in the cases before this court were
assessed at a mere nominal figure, and the five lessor
corporations of the Union Traction Company, the
eight lessor corporations of the Consolidated Trac-
tion Company, were not assessed at all.

The fraudulent assessments above described were
certified by the State Board of Equalization to the
auditor and by him to the county clerk of Cook

County. The taxes were duly extended by said
county clerk and during the months of January and

February, 1901 (Trans., 9), said corporations paid
the taxes extended pursuant to said fraudulent as-
sessments to the various town collectors. It will be
noted that said amounts were so paid while the said
mandamus suit was pending and before it could be
brought to trial.

During the month of April, 1901, said mandamus
suit was tried and on the 1st day of May, 1901, a
judgment was entered by the Circuit Court of Sanga-
mon County, awarding a writ of mandamus, as
prayed for in said petition. Said writ commanded
said State Board to convene and forthwith assess
the capital stock and franchises of the Union Trac-
tion Company and the Consolidated Traction Com-
pany and their respective lessor corporations, and
that of all the other appellees.

An appeal was taken by the State Board from
said judgment and on the 24th day of October, 1901,
the Supreme Court of Illinois handed down an opin-
ion, affirming said judgment. (Trans., 321.) (State
Board of Equalization v. People, 191 Ill., 528.)

The Supreme Court of Illinois, in declaring the
assessment made December 3, 1900, fraudulent and
void, said (Trans., p. 327):

‘*It was the duty of the State Board of Equal-
ization to assess the capital stock, including the
franchises, of said corporations at the fair cash
value thereof. Instead of doing so, the re-
spondents arbitrarily and willfully failed to fol-
low a proper and long established rule in force
in this state for making such assessments, by
refusing to take into consideration, in making

such assessments, the bonded indebtedness of
said corporations. They also disregarded all

other rules for the making of such assessments
in force at the time of the filing of this petition,
and for the purpose of evading their duty sought
to pass new rules for their government in mak-
ing said valuations and assessments, and re-
fused to consider the information then before
them, furnished to them by the assessors, as pro-
vided by statute, and assessed the capital stock
and franchises of said corporations at a nom-
me sum, instead of at the fair cash value there-
of.

The Supreme Court of Mlinois further pointed
out (Trans., 330) that Section 3 of Chapter 120
(Hurd’s Statutes for 1899, page 1394), required the
State Board of Equalization to adopt rules for ascer-
taining the fair cash value of the capital stock and
franchises of corporations, and that in 1873 certain
rules were adopted by said Board, which were
amended in 1889, and which remained in force at
the time of the filing of said petition for mandamus,
said rules being in the following language (Trans.,
p. 399):

“‘First. The market or fair eash value of the
shares of capital stock and the market value or
fair cash value of the debt to be determined by
reference to the Stock Exchange oT the books
of said corporations ; and the returns made to
the State Board, or other means (excluding
from such debt the indebtedness for current eX-

enses), shall be combined or added together,
and the aggregate amount so ascertained shal
be taken and held to be the fair cash value of
the capital stock, including the franchise, Te-
spectively, of such companies and associations.

“Second. From the aggregate amount ascer-
atined, as aforesaid, there shall be deducted the
aggregate amount of the equalized or assesse
valuation of all tangible property, respectively,
of such companies and associations (such equal-

ized or assessed valuation in each ease, if any,
shall be taken and held to be the amount and
fair cash value of the capital stock, including
the franchises) which this Board is required by
law to assess, respectively, against companies
and associations now or hereafter created under
the laws of this state.’’

On the 22nd day of November, 1900, and immedi-
ately after the Circuit Court had overruled the de-
murrer of respondents to the petition for a man-
damus, the State Board of Equalization, as the Su-
preme Court said, for the purpose of evading its
duty, adopted certain new rules quoted in full in
said opinion. (Trans., p. 331.)

Said rules, adopted on November 22, 1900, dif-
fered in many essential particulars from the first set
of rules above quoted, and especially in this, that
said second set of rules did not require the Board
to add to the market value of the stock, the value of
the indebtedness of the corporations. This new set
of rules, the Supreme Court of Illinois said, was iu
conflict with the statutes of the State of Illinois, as
they had been expounded by that court for a quarter
of acentury. The court held that it was the duty of
the State Board of Equalization to assess the cap-
ital stock and franchises of said corporations, in
accordance with the rules that were in force at the
time the petition for mandamus was filed against
them in the Cireuit Court.

Thereupon the mandate of the Supreme Court was
duly filed in the Circuit Court, and on the 2nd day
of November, 1901 (Trans., 173), there issued a writ
of mandamus against the said State Board of Equal-
ization, commanding them to assess the capital stock

and franchises of the above named corporations.
Said writ provided (Trans., 174):
“That in arriving at said valuations and as-
sessments of the capital stock, including the
franchises of the corporations herein named, the
said State Board of Equalization and the mem-
bers thereof, and each of them, shall from the
best information obtainable by it and them, as-
certain and take into consideration, among other
things, as to each such corporations, as the same
was on the first day of April, 1900, the market
value, or if no market value, then the fair cash
value of its shares of stock, and the total amount
of all its indebtedness except the indebtedness
for current expenses, excluding from such ex-
penses the amount paid for purchase or im-
provement of property and the assessed or
equalized valuation of all tangible property of
rrond corporations, respectively, on said April 1,

The original bill in this cause was filed in the
Cireuit Court of the United States, for the Southern
District of Illinois, against the State Board of
Equalization, seeking to enjoin said Board from
making an assessment in compliance with said writ,
and a restraining order was issued by said court in
accordance with the prayer of said bill. On the 22nd
day of November, 1902, said restraining order was
dissolved (Chicago Union Tr. Co. v. State Board of
Equalization, 112 Fed., 607), and thereafter, and on
the same day, the State Board made the assess-
ments on the capital stock and franchises of the
Union Traction Company and its lessor corpora-
tions and the Consolidated Traction Company and
its lessor corporations, and made a return to said
writ of the making of said assessments. Thereafter

the suit filed by the Union Traction Company in
the Circuit Court for the Southern District of Illi-
nois was transferred to the Circuit Court of the
United States for the Northern District of Illinois,
and the amended bill of complaint on which this
case was afterwards tried was filed against the
county collector of Cook County and the town col-
lector of the Town of North Chicago. (Trans., 6.)

The various allegations of appellee’s bill of com-
plaint when reduced to their lowest terms amount to
this: that the constitution and the laws of the State
of Illinois require uniformity and equality in the
assessment of all property within the state, and that
the State Board of Equalization in violation of those
constitutional and statutory provisions made an as-
sessment that was unequal, discriminating and un-
fair, which result was brought about in the following
manner:

First: That the assessment of other property in
the state, including that of railroad and telegraph
companies and other corporations for the year 1900,
as finally equalized by the State Board of Equali-
zation, did not exceed one-fifth of seventy per cent
of its cash value, whereas, the capital stock and
franchises of appellee and the other corporations
above named, were assessed at one-fifth of their full
cash value.

Second: That the assessment of the capital stock
and franchises of appellee and the other corpora-
tions above named was excessive, unreasonable, and
much higher than assessments made upon the prop-
erty of other persons and corporations for the same
year.

Third: That the assessment of the capital stock

and franchises of appellee, made by the State Board
of Equalization on December 3, 1900, and the pay-
ment in January, 1901, of taxes extended pursuant
to said assessment constituted a full discharge by
the appellee of all taxes that could be levied under
the laws of the State of Illinois against its capital
stock and franchises.

Fourth: That the members of the State Board of
Equalization in making the assessment complained
of did not exercise their own independent judgment,
but believed that they were coerced by the man-
damus in the Cireuit Court into making the assess-
ment for the amount and in the manner returned.

As the complainant and the defendants were all
citizens and residents of the State of Illinois, the
jurisdiction of the Cireuit Court was based solely
upon alleged violations of the Fourteenth Amend-
ment, in that the State of Illinois had deprived ap-
pellee of its property without due process of law
and had denied to appellee the equal protection of
the laws.

The statutes of the State of Illinois, and the con-
struction placed upon those statutes by the highest
court of the state, required that the market value
of property at the time it was assessed shall be the
guide of the assessors. The Cireuit Court ignored
and refused to adopt market values as the basis on
which to assess the capital stock and franchises of
the appellee and its lessor corporations, but adopted
in lieu thereof what was known as the capitaljzation
plan.

On the 4th of April, 1902, when the application of
the appellee for a preliminary jnjunction came on
to be heard, the court required appellee to pay cer-

tain additional taxes, referred said cause to a Mas-
ter, and directed said Master to determine the
amount of said additional taxes upon the following
basis (Chicago Union Traction Co. v. State Board
of Equalization, 114 Fed., 557) :

The full value of appellee’s capital stock and
franchises on April 1, 1900, should be ascertained
by capitalizing the net earnings of appellee in its
fiscal year, covering April 1, 1900, upon a basis of
6 per cent, full value to be computed at 16 2/3
times said net earnings. Said full value should be
equalized by deducting 30 per cent therefrom and
one-fifth of said equalized value, so ascertained,
should be taken as the equalized value upon which
complainant should have paid taxes for the year
1900. From said amount should be deducted the
taxes already paid and the balance should be the
additional tax to be paid by the appellee upon its
capital stock and franchises.

The Master filed a preliminary report (Trans.,
38) in which said Master found that appellee should
pay $134,350.03 in addition to the taxes previously
paid, said sum to be in full of all taxes to be paid
by appellee on its tangible property and upon ifs
capital stock and franchises for the year 1900. Sim-
ilar orders were made in the other six cases and
similar reports and computations were filed by said
Master.

To the report of said Master the appellants filed
exceptions (Trans., 96), which exceptions were over-
ruled by the court. A demurrer was filed to the ap-
pellee’s bill of complaint, which demurrer was over-
ruled by the court, and subsequent thereto the ap-
pellants filed their answer (Trans., 30), admitting

that the assessments were made as alleged in appel-
jee’s bill and that the taxes were by the county
clerk of Cook County duly exténded pursuant to
such assessments, but denying all charges of fraud,
