Mr. Cadwell has been on a rather extensive
business trip throughout the Far East and London and because of
thie your letter as well a3 Mr. Sanders! letter, arrived after his
departure,

lam very confident that Mr, Cadwell is going to
be extremely appreciative of the opportunity to work with you and
Mr. Turnbull or, the possibility of constructing bulk petroleum
facilities in Samoa, He has shown a keen interest and shares your
optimiem that there will be a tremendous economic growth in this
area, We made a serious attempt two years ago to construct
similar facilities in Tahiti and although our propocalwasthe most
favourable to the Government we could nut seem to secure the final
approval from the French Government in Paris,

Your interest on our behalf in offering to assist us
with the Government of American Samoa in nego.iating a longterm

land lease as well as putting us in contact with competent local

operators is most appreciated.

We all greatly enjoyed the opportunity of seeing you and your
delightful family during your stay in Hong Kong. We hope that your

trip to Japan, Hawaii and return home was pleasant,

It was unfortunate that time did not permit us to review before
you left the discussion you had with Mr, Cadwell at the Carlton Hotel,
Realiziog you hed a great many other matters on your mind, I would
like to review the present status as explained by Mr, Cadwell of our
interest in constructing a terminal and raarketing Union O11 products
in American Samoa, I am sure you realize that we have had a serious
interest in developing the above mentioned proposal, however, our
studies indicate that American Samoa cannot be serviced by products
from California and be competitive, but that the study eleo ind!ca!es
that it would be possible to supply products from Singapore.

Mr. Cadwell explnined that we are in a midst of serious negotia-
tions regarding the future of the Maruzen Toyo Singapore Refinery and
that if we stayed in this refinery as suppliers and marketers we can
possibly arrange economical transportation to Samoa and proceed with
the proposal, On the other hand, ff the negotiations result in our not
staying with the refinery as suppliers and marketers, there seem very
little possibiluy of our making an investment in the terminal and getting
a satiofactory i cturs un our investment,

Mr. Cadwell assured you that he will keep you advised through
Mr, Turnbuli of our success, but if you have other companies thet are
interested in supplying to Samoa, we did not belleve our questionable

company. We hope this does not sound pessimistic, but we are
only trying to give you a frank and honest appra{-al of conditions

The meeting of Chasber of Commerce resulted in a 15 to 4 decision

to approve the petition to Coneress, as prepared by the stacked

board of directors. ‘The four (Ron Pritchard, Burns Philp nan,

On the matter of the sale of our Bank, I as still not prepared to enter into

any firm negotiations. We hive not arrived at the point where I would be willing
to do this and I do not know when we will be. I do want to assure you, however,
that ay feeling is that the Bun: should be sold at the appropriate time.

In regard to our boats that are coming here, I was interested in your comment
about Captain Jacots' discurcion with you. I advircd Captain Jacobs that if
you had a@ good crew that was aveiluble to bring the boats down, I wanted hia

to negotiate with you in relation ‘o your cargo and crew and to try to work

out sore kind of arrangement. The last tine I heard from him, he indicated to
me thet he hed discussed the matter with you but thut you did not have any kind
of crew firmed up. I advised him to keep in touch with you snd to work on the
basis of either part or coviplete crew and also on the basis of your cargo.

new petrolewa facilities in Samoa, the financing compeny
that will disburse fuel products directly to your powerhouse
and to the fish ——- and the drawings of the tank
batteries on the hill across from PCPC,

We have discussed your problens with Standard Oil Co.
and their high rates fur all petroleum products, our talks
and planning having spanned nearly three years. During that
time I have brought UNOCo from Ho. g Kong, Mobil from
Australia and Swmit Petrolevs frow sew York and Thailand.
Months have been spent working out suitable locations for
tank sites, 1.2* only in Pego Harbor but also at Tafuna.

Our agreemoit with Suvunit is in effect and the delivered
costs of petroleu. products to your government, to the fish
companies and to FPanAm will be less than one-half of th-
cost charged by Standard Oil Co. |

You advised me earlier that wy proposal would not be
used to influence Standard to lower their prices but the
result has been the same, in that they have lowered their

prices temporarily to discourage competition.

In a meeting in your Pago office in May you advised that
you would make a decision. Could I expect an answer froa

From the above, you will see that the lergest single item of
seles is the diesel fuel. I propose to consider a sea terminal
at Pago Pago with the following storage capacities:

1 - Mogas tank 20,000 bbl. floating roof fvecergu
1 - Kerosene tank 10,000 bbl. cone roof aitenno ”
2 - Diesel tanks 35,000 bbl. cone roof .

I estimate the cost for these storage tanks should be around
U.S. $250,000. I do not know how far the jetty and pipelines
should be built. Assume that you can find a location where the
depth of water of about 30 feet is not too far from the shore,
then the cost of construction for pipelines and jetty will not
be too much. If you can find such a place, the cost of con-
streoction wight be around $250,000. Taking into consideration
the pumps and other accessories and a modest office building,
I believe you should get the whole thing done for around
$500,000/$600,000 (cost of land is disregarded). If you can
keep these expenditures within the above mentioned fisures, then
I belicve the venture would still te worthwhile. You can sce
that the annual turnover is not more than 20,000 tons. We will
have to arrange a very small tanker, say about 12,000 tons, to
dcliver cargoes to Pago Pago at an interval of every six months.
The freight rate would be a little higher than what I estiwated

previously.

From your letter of August 6th, I realize the dicsel fucl is sold
by Standard Of1 of California at around 16.5¢/gal. We shall

have a gross margin of 6¢/gal. If you allocate 2¢/gal. to pay
the capital investwent which will agount to about $100,000/yeaer,
it takes 5/6 years to get the investment back. You will have -to
allocate about l¢/gal. for the adwinistrative expenscs and you
should have about 2/3¢ per gellon net income for each gellon of
preJucts sold. You will have to give commissions to a dceoler if
you chooee to sell the products through a second party. In”
thet case, the dealer's income will have to be taken off from

the above-mentioned net profic.

When you have a sea terminal at Pago Pago, you will be able to take
care of the neighborhood islands such as Tonga. Shipment can

be made from Pago Pago by barge or in steel drums and such drums

can be carried by fishing boats or cargo boats. The drums can

be returned for further use. If you take a look *t che price
indicated by Tonga Construction Company, you will find it is

very high indeed. This high price is perhaps duc to shipment

the sales of diesel can exceed ten miilion allons alone in Samoa

long term contracts with Starkist Foods Inc, Van Camps and the Government
of American Semoa. If the specification on the diesel was the same
as the present spec on Standard Oil Co. diesel in Samoa the formula
would look like this:

and the labor to erect the tanks could be obtained at a lesser cost

than that price advanced by Chicago Bridge & Iron Co. ;

| Inasmuch as both the Governor and the fishing companies are urgently
interested in making a deal could you supply me with some of the answers

concerning not only the above questions but the method of payment for _

the product as it is sold - whether it is on consignment until sold ete?

If I can obtain bona fide long term contracts would this suffice,
as a good enough guarantee, to create the financing of the installation?
I propose to form a new small American Samoa Corporation in order to avoid
corporate taxes for ten years. All of the stock could be held by the

the consideration of the fish companies.

Present metiodts of billing in Pago Pago for fucl has the
companies giving credit to the fishing fleet and taking it out
of the fish when delivered. Starkist says it would be easy to
handle that end of it - they would just pay us directly and
then take it out of the fish catches.

For the |e of protecting our proposal in a concerted
effort it might be wise to turn aside any independent inquirctes
made to you regarding petroleum products for American Samoa. One

1, We can furnish jet fuel, to Air Turbine Fuel 1-A specifications,
which is currently being used byleading airlines in the U.S.A.,
such as PAA, NWA, and others. The requirements at Pago Pago

. fe about 3.5 million gallons per year, which is a little over
10,600 tons a year. We are sure that we can meet the require -
ment in quality and quantity.

; 2. Our price to the importing company will be 11. 5¢ per gallon.

3. The importing company shall provide storage facilities and the
. tank-truck loading equipment. It is suggested that the tunporting
company shall charge 2¢ per gallon for the repay.uient of tankage
facilities and another 2¢ for operating expenses, including profit.
Therefore, the oil sold ex-tank-truck will be 15. 5¢ per gallon at
** the Terminal, Pago Pago.

* 4. ti From the tank-truck, either the Government or the importing

' company can deliver to the airport and serve the airlines. On this
part of the servicing, it is very difficult to estimate the opcrating
expenses. If the airpurt is equipped with underground fuel tanks
and also other facilities, and such facilities can be used at

GENERAL INFORMATION

On the basis of taiks held over a period of two years with
the Governor of American Samoa, the Premier of Tonga, Pan Americar
officials, the officers of Starkist Foods Inc., Van Camp and
Pacific Coconut Processing Corp, there is a strong possibility
of obtaining firm commitments to supply petroleum products in
such quantities as to make feasible the construction of a Terminal
Bulk Plant in Pago Pago, American Samoa.

A proposal has been submitted to all interested parties
wherein petroleum products have been offered at a substantially
lower price than those prices presently being paid for products
of Standard Oil Co.

The followlng quoted prices, subject to the Singapore posted
price, are listed herewith for comparison purposes:

This company has been furnishing petroleum products to a number
of foreign governments, —— which the largest one is Oil Field
Organization of Thailand. ey have been selling oil to thie
customer since 1957. They are also the only Western Supplier
selling petroleum products to the Indian Oil Corporation. They
have two refineries in Thailand and have an affiliate company,

Tuai Asphalt Manufacturing Co, Ltd., which praduces petroieum vil
and lubricating oil

Their referenc.; Unoco, Hong Kong, and Union Oil Company
indicated the highesc degree of responsibility and honesty. Their
financial responsibility has been investigated by Bank of America
through the Audicing firm of George R. Funaro Co. of New York.

This entire area is dominated by Shell and Mobil (position
inherited from Stanvec). There are inroads made recently by
Socal at Papeete and Pago;Total (via throughput from Mobil) ina
New Caledonia and Tahiti; BP in aviation sales only and Ampol
in New Guinea.

Against the secmingly well entrenched position of Shell and —*
Mobil, we can exploit somo of their glaring wekresses. In area
A most places are still wide open, where, given equal costs, oo"

the obtaiaing of our share of the market is a matter of diligence.
In areas B and C, a successful operation throughout can be envis-
aged and in many places we cay even end up being the logical sup-
pliers to our competitors.

We have just received telegraphic advice

from British Petroleum that due to small volume
potential and the problems of transporting refined a
oil products from either Singapore or Australia they C)
arc not interested in marketing in American Samoa.
This would seem to close the book at least tempora-
rily on our plans to find a competitive source of sup-
ply so that we could enter tais market. I realize of
course that this is a great personal disappointment to
you as it is to mc and we all sincerely hopechat by
solving the problems we have had in the past with the
Singapore Refinery we could be in the position to com-
petitively ship products to Samoa,

‘ [have not yet written Governor Lee and I
would be happy to do so but would first like your advice
whether you would prefer to write him or whether you
think it proper that I also write and explain the decision
of the British Petroleum Company.

I am taking the liberty of sending a carbon
copy of this letter to Mr. Nero because he is, of course,

as intercsted as we are in the proposal and he may
want to contaet you at some future date,

Mr. Cadwell asked me if I had told you
officially that British Petroleum were proposing
to buy the Singapore Refinery. I do not recall whe-
ther I have told you this in a letter or over the long
distance phone and, for that reason, I am enclosing
a photostatic copy of a press release on this subject
which you may or may not have seen. It appears
that the negotiation for the purchase of the refinery
by BP has been approved by all parties concerned.

Mr. Cadwell is going to discuss with the
officials of BP the information you were kind enough
to give me by overseas telephone the day before
yesterday and, I am taking the liberty of writing BP,
suggesting they contact you personally in the event
this recent indication that Pan American would give
the new supplier their jet fuel requirements in Pago
Pago might possibly increase the volume sufficiently
for them to be tnterested.

Thank you again Ray for the enthusiasm
and support you have given us on this program and I
sincerely hope that we have the pleasure of seeing
you in Hongkong in the near future.

Have you ever heard of Dato Loke Wan Tho, S.1.M.K., P.M.N, Chairman of
the Cathay Organization? I understand that as an individual he is loaded
and that he .yao a tremendous hui. They have been sprinkling their
mouey out in the Pacific evidently smelling a coming rat in the Orient.
His son-in-law, Wesley Barrett, runs the Ca Hotels (Fiji, Led.) in
Suva, Fiji. I once talked to Barrett about Tahiti, but that idea died
because the French hate Chinese. This Palmyra caper should have some
trigue in ‘{* for foreigners in that they can carve pieces out of the
tourist industry that frequents Hawaii and ;et dollars at the same time.
Keep your ears open for anybody who might be interested in this deal.

phases: first would be preliminary prospectin3, the cost of which would
be borne by the incivieual partners of the proposed joint venture, cach

feasibility; second, the engineering survey and design for dreczinz,
reclamation and water front construction, which would be to the account
of the joint venture; and third, the actual isplementation of the plana
by the joint venture on a cost basis to be determined by negotiation
leading from che first two phases.

Between now and your return to Eonolulu, we propose to exanine the project
with the use of such hy¢rogrephic and other charts as may be available here.
We would like to recommend that you plan to stay a day or two here in order
that we may explore more fully plans for finance, nature of the industries
contemzlated for the site, as well as the present extent of leasing intent
