EER EIR re. Sea
(Indicate part of Report.)

All Explanations are re Part VII:

All investments shown in previous report as having no value at end of the

prior reporting period were sold, dissolved, or otherwise disposed of during

that period and have been deleted from the form.

The Janus Capital Management distribution was received as a result of an

administrative proceeding relating to the mutual fund formerly known as Janus

Mercury Fund, all my shares of which had been sold in 2003.

The Bear Stearns dividend was received in 2009 as part of the settlement of an

administrative proceeding against that company: that company was acquired by

JP Morgan Chase in 2008.

Any multiple entries for the same security, required in prior report because

there were transactions on different dates, have been consolidated to the

extent appropriate.
